Terms of Use for ReBid
These terms apply between ReBid AB and the organisation that orders the service.
This is a translation. The Swedish version applies.
Swedish original (PDF)1Parties and agreement
These general terms of use apply between ReBid AB, organisation number 559492-1610, Vasagatan 12, 111 20 Stockholm, Sweden (ReBid), and the business that orders the service (the Customer). Contact for agreements, support and termination: info@rebid.se. Data protection: gdpr@rebid.se. Website: www.rebid.se.
The service is intended for companies and other organisations, not consumers. The person placing the order must be authorised to bind the Customer. The agreement is entered into through an accepted quotation, a signed order or active acceptance in the ordering flow where these terms have been made available prior to the purchase.
In the event of any conflict, the data processing agreement takes precedence over other documents in matters concerning the processing of personal data on the Customer's behalf. Thereafter, specially agreed terms in the order, the agreed service description and these terms apply. A separate confidentiality agreement takes precedence over the confidentiality section within its scope. The Privacy Policy provides information about processing and does not constitute consent.
2Scope of the service
ReBid is a digital service for tender and bid work in the construction industry. Depending on the Customer's subscription, the service may include monitoring and matching of tenders, company profiles and references, analysis of tender documents, an AI assistant, follow-up, notifications and integrations.
The order specifies which functions, users, any usage limits, integration rights, prices and contract periods are included. Future functions, prototypes and items in a development roadmap are included only when expressly agreed. Pilot and beta functions shall be identified as such before they are used.
Consultancy work, training and custom development are included only if ordered. Ditas Consulting AB is a separate company and is not a contracting party or supplier under these terms solely by reason of its connection to ReBid's owner.
3Accounts and licences
During the contract term, the Customer is granted a limited, non-exclusive right to use the agreed functions for its own business. User accounts are personal and may not be shared. Licences may be reassigned in the event of staff changes by an authorised administrator. Group companies and external consultants are covered only to the extent stated in the order.
The Customer shall keep its details up to date, protect logins and keys, use available security features and terminate unauthorised access. The Customer is responsible for its access authorisation decisions and for its users' use within its area of control. ReBid is responsible for security in its part of the service. Suspected intrusions shall be reported without undue delay.
4Price and payment
Price, currency, invoicing interval and commitment period are stated when the order is placed. Amounts are stated exclusive of VAT unless otherwise expressly stated. Special offers apply only in accordance with the stated terms. These terms of use do not contain a standalone price list.
Unless the order states otherwise, the subscription is invoiced monthly in advance in SEK with 30 days' payment terms. Monthly invoicing does not mean that an agreed longer commitment period is shortened. Additional licences and other add-ons are charged in accordance with the accepted order.
In the event of late payment, ReBid may charge late payment interest and legally permitted fees. The Customer shall promptly state any well-founded objections to an invoice and pay the undisputed portion. Recurring card payments require that such payment is offered and has been expressly approved.
5Contract term and termination
Unless another contract term is stated, the subscription runs on a monthly basis. It may be terminated with effect from the end of the paid monthly period by giving notice before the end of that period. An expressly agreed fixed-term subscription runs for the stated period and thereafter converts to a monthly subscription unless another renewal has been expressly agreed or the Customer has terminated it before the end of the period.
Notice of termination is given to info@rebid.se or through the termination function provided by ReBid. It takes effect when it has been received by ReBid; its validity does not depend on our confirmation. The Customer should keep a record of the termination. ReBid confirms receipt without undue delay.
The Customer retains agreed access until the termination date. Deleting a personal account does not terminate the organisation's agreement. Fees already due are not affected. Fees for a commitment period apply in accordance with the order, subject to the exceptions arising from termination for breach, express amendment rules or mandatory law. In the event of a change of provider, section 14 also applies.
6Trial period and price changes
A free trial period applies only when it has been offered with a stated length and scope. Unless otherwise expressly approved, the trial period does not automatically convert into a paid subscription. ReBid communicates the terms of any extension. Personal data and customer material are also protected during the trial period.
Price increases are notified at least 60 days before they take effect and apply at the earliest from the next contract period. The agreed price during an ongoing commitment period does not change unless the order contains a clear, agreed adjustment model. The Customer may terminate the subscription before the new price takes effect. Inaction does not mean that a new additional purchase has been accepted.
7Permitted use and tender sources
The Customer shall use the service lawfully and may not circumvent access protection, share licences, disrupt operations, distribute malicious code or carry out security testing without written permission. Copying, decompilation and reverse engineering are prohibited to the extent such a restriction is permitted under mandatory law.
The service or its database may not be subjected to bulk extraction, resold or used to build a competing data service or to train competing models without a separate agreement. This restriction does not affect the Customer's right to its own data, statutory export, permitted interoperability or information to which the Customer has an independent right from other sources.
The Customer shall have the right to provide the material, give the necessary information to those concerned and give lawful instructions. The Customer shall not connect unauthorised folders, disclose other persons' login credentials or circumvent the terms and technical restrictions of procurement portals.
ReBid grants no general right to attachments or databases held by third parties. The rights and access terms of the original source apply. ReBid is responsible for the lawfulness of its own collection; that obligation is not transferred to the Customer by these terms. Sensitive personal data, personal data relating to criminal offences and security-classified material may not be provided without a separate agreement and the necessary legal and technical protection.
8AI and the Customer's verification
AI-generated answers and analyses are decision support and may contain errors, omissions or outdated information. Match scores are not a guarantee of qualification, correct fulfilment of requirements or a chance of winning. ReBid does not guarantee full coverage of all tenders or that every change is detected immediately.
The Customer shall check important information against the current original documents, in particular the bid deadline, questions and answers, mandatory requirements, reference requirements, quantities, prices and contract terms. The Customer is responsible for its bid and for business decisions. ReBid does not provide legal, technical or other regulated professional advice through automated answers.
Notifications are an aid and do not replace necessary checks in the official procurement channel. The service does not submit bids, make binding commitments or contact third parties on the Customer's behalf without an express mandate for the function and action in question.
These limitations do not release ReBid from agreed delivery, confidentiality or data protection obligations. Liability is governed in its entirety by section 16.
9Integrations
The Customer is responsible for its own agreements and authorisations with connected external services. Information sent to an external AI assistant or other service may be subject to that provider's terms. ReBid describes relevant data flows and permissions before a connection is activated.
Disconnecting does not delete copies already transferred to external recipients. ReBid may restrict a connection in the event of a security risk or changed external circumstances and shall inform the Customer. ReBid remains responsible for the subcontractors that ReBid itself engages to perform the agreement.
10Customer material and intellectual property rights
The Customer retains the rights the Customer has to uploaded or connected documents, profiles, references, instructions and other material of its own. The Customer grants ReBid the right to store, process, transfer and make necessary technical copies solely for delivery, support, security, agreed backup and exit. This right continues after the end of the agreement only to the extent required by lawful retention or agreed exit.
As between the parties, the Customer may use the results generated for the Customer in its business, including after the end of the agreement. To the extent that ReBid holds transferable rights to such customer-specific results, these are assigned to the Customer. Rights to the platform, models, program code, general methodology and third-party material are not assigned. AI results may lack intellectual property protection and may be similar to other customers' results; this confers no right to disclose customer material.
ReBid and its licensors retain the rights to the service, documentation, software and protected databases. ReBid does not claim exclusive rights to public information as such. The Customer's export and usage rights under the agreement and mandatory law apply irrespective of these limitations.
11Statistics, model training and feedback
ReBid may use technical operational and usage data to operate, secure and improve the service. Such data includes, for example, response times, error codes and use of functions, but does not automatically include document content, prompts or AI responses. Personal data is processed in accordance with the Privacy Policy and the applicable allocation of roles.
Customer material is not used for general or shared model training. Bids, estimates, margins and other confidential project information are not used in other customers' analyses or in shared comparisons without a separate written agreement and the necessary data protection basis.
ReBid may use genuinely anonymised and aggregated technical statistics that do not disclose any individual, the Customer's identity or trade secrets. If the Customer's material is to be used for shared benchmarking, a separate agreement is required even where personal data is not included.
ReBid may use voluntary general feedback for product development without compensation. This does not cover the Customer's confidential information or any assignment of rights to customer material.
12Confidentiality and references
Each party shall protect the other party's non-public business information and use it solely for the purposes of the agreement. Access is limited to persons and suppliers who need it and are bound by appropriate confidentiality obligations. Exceptions apply to information that was lawfully known, has become public without breach of contract, has been lawfully received from another source or has been independently developed.
Disclosure may be made where required by law or by a decision of a public authority, with prior notice where permitted. Confidentiality applies during the agreement and for five years thereafter; for trade secrets, for as long as the information remains a trade secret. Statutory data protection applies irrespective of these periods.
The Customer's name, logo, quotes or customer story may be used in marketing only after written approval specifying the scope. Withdrawal of approval stops new uses and results in removal from digital material under ReBid's control within a reasonable time.
13Personal data
The parties shall comply with applicable data protection legislation. A data processing agreement shall be in place before personal data is processed on the Customer's behalf. It shall cover instructions, sub-processors, security, incidents, assistance, audits, transfers, and return and deletion. The Privacy Policy does not replace this agreement.
The Customer is responsible for the legal basis and instructions for its material. ReBid is responsible for its obligations as processor and for the processing for which ReBid is independently responsible.
14Export, switching and exit
The Customer may request export or a switch of provider via info@rebid.se. Export covers the data and documents provided by the Customer as well as exportable customer-specific results and metadata. ReBid's internal program code, models and own protected assets are not included, but exceptions may not prevent a mandatory right to switch. The Customer retains the right to its own data and results that have already been lawfully exported.
If the service is covered by Chapter VI of the EU Data Act, the rights to switching and exit under that Chapter apply. Before the order is placed, ReBid shall provide information on exportable data categories, excluded categories, formats, technical limitations and the switching procedure in an export annex that can be saved. If the annex is missing, it shall be supplemented before the agreement is signed; no export formats are guaranteed by this draft.
For such a switch, the period from the request to the start of the transition period is a maximum of two months. The transition shall normally be completed within 30 calendar days, with reasonable assistance, continuity and security. Statutory rules apply to a technically justified extension and to an extension at the Customer's request. The Customer is given at least 30 calendar days for data retrieval after the end of the transition period.
The agreement terminates in accordance with the rules of the Data Act when the switch has been completed or, if the Customer chooses erasure instead of switching, on expiry of the prescribed notice period. ReBid gives notice of this. Data is deleted after the applicable retrieval period, unless the law requires continued storage. Switching may not be blocked solely on the grounds of a payment dispute.
Under this proposed agreement, ReBid does not charge any specific switching or data retrieval fee. Ordinary fees up to termination and any expressly agreed, legally permitted compensation for early termination shall be stated before the purchase. Such compensation may not function as an impermissible obstacle to switching. On any other termination of the agreement, 30 days are offered for retrieval, after which active customer data is deleted within 90 days at the latest; backups are rotated within a further 35 days at most. The Customer may instruct earlier deletion where the law permits.
15Operation, changes and suspension
ReBid shall deliver the service in a professional manner and take reasonable measures to ensure stability and rectify faults. Guaranteed availability, response times or service credits apply only if specifically agreed. Planned material interruptions are notified within a reasonable time where possible.
ReBid may develop and change the service. Material deterioration of agreed core functions or material changes to the terms are notified at least 30 days in advance. The Customer may then terminate the affected service before the change and receive a refund of advance payments for unused time. Urgent legal or security changes may be implemented earlier, with information provided as soon as possible.
In the event of a material breach of contract, the other party may terminate for breach if the breach is not remedied within 30 days of a written request to do so. ReBid may temporarily and proportionately restrict access if necessary to stop unlawful use or a specific security risk. In the event of late payment, a written warning and a remedy period of at least 15 days are required before suspension. The Customer is informed of the reason and access is restored when the ground for suspension ceases to exist.
16Liability and limitations
The parties are liable for proven direct loss caused by breach of contract. Neither party is liable for indirect loss, such as loss of profit, a lost bid or deal, loss of production or consequential loss. However, reasonable costs of restoring data after a breach of contract shall be treated as direct loss.
Each party's aggregate liability for damages during a twelve-month period is limited to the fees paid or payable for the service during the twelve months preceding the event giving rise to the loss. If the agreement has been in force for a shorter period, the agreement's monthly fee multiplied by twelve is used. For an entirely free trial period, the cap is SEK 10,000.
For breach of confidentiality or agreed data protection obligations, the cap is twice the above amount. The limitations do not apply in cases of intent, gross negligence or liability that may not be limited by law. The Customer's obligation to pay agreed fees is not limited by the liability cap.
These terms do not limit a data subject's rights under GDPR or the powers of public authorities. Liability may be allocated between the parties only to the extent permitted by law. The parties shall notify each other of any loss without unreasonable delay and take reasonable measures to mitigate it.
17Force majeure
A party is released from liability for an obligation whose performance is prevented by a circumstance beyond the party's reasonable control which the party could not reasonably have foreseen or overcome. The party shall inform the other party and limit the consequences. An ordinary supplier failure or a foreseeable shortage of capacity does not automatically constitute force majeure.
If a material impediment persists for more than 60 days, the other party may terminate the affected service. Fees paid in advance for any period during which the service is thereafter not delivered are refunded.
18Assignment and non-exclusivity
ReBid may assign the agreement in connection with a transfer of business, merger or reorganisation to a party that assumes the obligations. The Customer is informed and shall not receive inferior agreed rights as a result of the assignment. Any transfer of personal data still requires a legal basis and appropriate safeguards.
The Customer may assign the agreement with ReBid's written consent, which shall not be withheld without objective reason. ReBid may offer the same functions to other customers. Exclusivity, specific ownership of development work and a right to the best price apply only if expressly agreed. General know-how may be reused provided that customer material or trade secrets are not disclosed.
19Governing law, disputes and notices
Swedish law applies. The parties shall first attempt to resolve any dispute through negotiation. If this is unsuccessful, the dispute shall be decided by the Swedish general courts with Stockholm District Court as the court of first instance, unless mandatory law provides otherwise. This provision applies to the agreement between the businesses and does not limit the rights of data subjects.
Contractual notices are sent to the Customer's stated contact address and, for ReBid, to info@rebid.se. Each party is responsible for keeping its contact details up to date. If any provision cannot be applied, the remaining provisions apply to the extent possible. Failure to enforce a right immediately does not constitute a waiver of that right.
